EVERYTHING UGANDA LTD TERMS OF USE

These Terms of Use ("Terms") govern access to and use of the Everything Uganda website, mobile applications, digital platforms, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

ABOUT EVERYTHING UGANDA

Everything Uganda Ltd is a private limited company incorporated in the United Kingdom under Company Number 116823953, with registered offices at 19 The Office Village, North Road, Loughborough, Leicestershire, England, LE11 1QJ ("Everything Uganda", "we", "us", or "our").

Everything Uganda operates in Uganda through its wholly owned subsidiary, Everything Travels Uganda Ltd with company number 80034124199441, TIN NUMBER/VAT NUMBER 1056626965, with Tourism operating licence number UTB/RTT/TO/2026/102264 located at Plot 19, Binayomba Road, Bugolobi, Kampala, Uganda.

Everything Uganda generally operates as a travel experience curator and technology platform, connecting tourists and travelers ("Users") with vetted third-party tourism service providers in Uganda, including but not limited to tour operators, accommodation providers, transport providers, guides, and activity hosts (collectively, "Service Providers").

PURPOSE OF THE PLATFORM

The Platform is designed to

  • Curate and promote premium Ugandan travel experiences.
  • Connect Users to vetted tourism Service Providers.
  • Allow users to submit booking requests and confirm bookings directly through everything Uganda.
  • Facilitate payment and booking administration.
  • Facilitate discovery, inquiry, communication, and bookings.
  • Support sustainable, community-driven tourism initiatives and
  • Leverage partnerships and technology to scale high-value tourism.
  • Everything Uganda does not itself operate accommodation facilities or activities unless expressly stated in writing.

Everything Uganda manages the booking interface and coordination process. However, the underlying travel services and experiences are delivered by independent third-party service providers unless expressly stated otherwise.

ELIGIBILITY TO USE THE PLATFORM

By using the Platform, you represent and warrant that

  • You are at least 18 years old or have the legal capacity to enter into binding contracts and
  • You are using the Platform for lawful purposes only.

If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

PLATFORM ROLE AND DISCLAIMER

Intermediary Role

Everything Uganda operates as a curated travel booking and coordination platform.

When a user makes a booking through the platform,

  • The user submits a booking request or confirms a travel experience or package through everything Uganda
  • Everything Uganda sources, coordinates and engages an appropriate vetted third-party service provider based on the user’s request.
  • The user makes payment directly to everything Uganda.
  • And everything Uganda pays the selected service provider on behalf of the user using the funds received.

Everything Uganda manages the booking process, customer communication coordination and payment administration for convenience and quality control purposes.

However, the actual travel services (including tours, accommodation, transport or activities are performed solely by the relevant third-party service provider.

For avoidance of doubt, the contract for the provision of the travel services exists between the user and the relevant service provider.

Everything Uganda is not a tour operator or direct provider of these travel services unless expressly stated in writing.

No Agency or Legal Partnership

Everything Uganda may enter into commercial partnership or collaboration agreements with independent service providers for quality standards, payment structures, and operational coordination.

However;

  • Such arrangements do not create a legal partnership, joint venture, agency, franchise, employment, or fiduciary relationship between Everything Uganda and any service provider.
  • Service providers operate as independent contractors.
  • Each party remains independently responsible for its own legal and regulatory compliance.

SERVICE PROVIDERS AND VETTING

We undertake reasonable due diligence to vet Service Providers listed on the Platform. However,

  • Vetting does not constitute a guarantee of quality, safety, legality, or performance.
  • Licensing, insurance, and regulatory compliance remain the sole responsibility of each Service Provider and users are encouraged to independently verify information relevant to their booking.
  • Everything Uganda reserves the right to suspend or remove Service Providers at its discretion.

USER OBLIGATIONS

Users agree to,

  • Provide accurate, current, and complete information
  • Use the Platform responsibly and lawfully
  • Respect local laws, customs, cultures, and environmental standards
  • Refrain from abusive, fraudulent, misleading, or harmful conduct and
  • Not interfere with the security or functionality of the Platform.

We reserve the right to restrict or terminate access for breach of these Terms.

BOOKINGS AND COMMUNICATIONS

Booking through Everything Uganda

All bookings for travel experiences are made directly through Everything Uganda via the Platform.

When the user submits a booking request or confirms a booking;

  • The user enters into a booking and coordination agreement with Everything Uganda for the arrangement, administration, and management of the selected travel experience.
  • Everything Uganda confirms availability, sources and appoints an appropriate vetted service Provider, and coordinates the delivery of the experience, and
  • The underlying travel services are delivered by an independent third party service provider.

Everything Uganda is responsible for managing the booking process, customer communication, payment administration, and coordination of logistics prior to commencement of the services.

Role in service delivery

While Everything Uganda curates experiences and maintains partnerships standards with service providers, the operational execution of tours, accommodation, transport, activities, and on-ground services is carried out solely by the relevant service provider.

Service providers are responsible for;

  • Operational performance of the travel services.
  • Safety and compliance with applicable laws and licensing requirements.
  • Providing services with reasonable skill and care.

Communications

All pre-booking and post-booking communications may be managed through Everything Uganda to ensure quality control and consistency of service.

Everything Uganda may liaise with Service providers on behalf of the user. However, this coordination does not transfer operational responsibility from the service provider to Everything Uganda.

Changes and operational matters.

Any changes to itineraries, schedules and accommodations, or activities due to operational requirements, weather conditions, safety concerns, or regulatory matters shall be managed in coordination with the relevant service provider.

Everything Uganda will use reasonable efforts to assist users in resolving operational issues but does not guarantee uninterrupted or error-free delivery of services.

PAYMENTS

Booking payments

All payments for bookings made through the platform are made directly to Everything Uganda.

Users do not make payments directly to service providers.

By making payment through the platform, you authorize Everything Uganda to:

  • Receive the booking funds.
  • Allocate and remit the appropriate amount to the relevant service provider on your behalf and
  • Deduct any agreed platform or administrative fees where applicable.

Payment to Everything Uganda constitutes payment toward the booked travel services.

Payment Processing and Financial information.

Payments are processed through secure third party processors, including Stripe.

In order to process your booking, we collect necessary billing and payment information through our secure payment gateway.

Everything Uganda does not directly store full card details unless expressly stated.

Payment data is processed in accordance with applicable data protection laws and the terms of the relevant payment processor.

No Fiduciary or Escrow Relationship

Nothing in these terms creates a trust, escrow, or fiduciary relationship between Everything Uganda and the user unless expressly agreed in writing.

Funds received are used for the purpose of facilitating and administering the booked travel services.

CANCELLATION & REFUND POLICY

All bookings made through Everything Uganda are subject to the cancellation and refund.

These terms reflect standard tourism industry practices in Uganda and comply with applicable regulations governing tour operations, accommodations, transport services and national parks.

Booking Confirmation & Deposits

A booking shall be deemed confirmed only upon issuance of written confirmation by Everything Uganda and receipt of the deposit specified in the applicable invoice.

Unless expressly stated otherwise in writing, a non-refundable deposit of ten percent 10% of the total package price is required to secure standard holiday packages.

For bespoke itineraries, peak-season travel or supplier-restricted services, Everything Uganda reserves the right to require a higher deposit or full prepayment, which shall be clearly indicated on the invoice.

Payments relating to gorilla and chimpanzee permits are processed separately and are governed exclusively by the refund and amendment policies of the Uganda Wildlife Authority (UWA), as referenced under Clause 4.

Cancellation Procedure

All cancellations must be submitted in writing via email to reservations@everythinguganda.com cancellations shall take effect on the date and time of confirmed receipt by Everything Uganda.

Upon cancellation, applicable refunds (if any) shall be calculated and processed in accordance with Clause 3 (Generic Packages) or Clause 4 (Supplier-Controlled Services), as applicable.

Cancellation and refund – Generic Packages

This clause applies to standard holiday packages, safari, lodge accommodation with transport and day tours not involving supplier-controlled or non-refundable components such as airline tickets, national parl permits or special-use licenses.

Where any component is subject to third-party non-refund rules, such rules shall prevail.

  • More than sixty (60) days prior to arrival; Full refund of amount paid less the non-refundable deposit and administration fee (10%)
  • Between sixty (60) and thirty (30) days prior to arrival: Refund of seventy percent (70%) of total package price (Thirty percent (30%) cancellation fee)
  • Between twenty-nine (29) and fourteen (14) days prior to arrival; Refund of fifty percent (50%) of the total package price. ( Fifty (50%) cancellation fee).
  • Between thirteen (13) and seven (7) days prior to arrival; Refund of thirty percent (30%) of the total package price / 70% cancellation fee.
  • Six (6) days or fewer prior to arrival or No-show; No refund shall be available.

Customized and supplier - controlled services

Gorilla & Chimpanzee Permits (Uganda Wildlife Authority)

All gorilla and chimpanzee permits are issued and regulated by the Uganda Wildlife Authority (UWA). Refunds, date changes or credits (if any) are governed solely by UWA policy in force at the time of cancellation.

UWA generally permits refunds only when cancellations are made well in advance of the trekking date. Refund percentages decrease as the trekking date approaches and permits may become fully non-refundable within the final thirty (30) days prior to trekking.

Everything Uganda shall pass on any refund or credit granted by UWA to the traveler, less applicable bank charges, administrative costs or transaction fees.

Application of UWA Refund Decisions

Where UWA applies a partial refund to the operator, Everything Uganda shall mirror the same percentage refund to the traveler.

By way of example (subject to prevailing UWA rules at time of booking):

  • Refunds of seventy-five percent (75%) granted by UWA for early cancellations shall be passed through accordingly.
  • Refunds of fifty percent (50%) granted for mid-range cancellations shall be passed through accordingly.
  • Where UWA grants no refund, no refund shall be payable to the traveler for the permit component.

Other Supplier-Controlled Services

Certain customized services, including but not limited to Rwenzori Mountaineering Services slots, private charters, special permits and exclusive experiences, require full prepayment and are subject to strict supplier cancellation penalties.

Everything Uganda shall disclose at the time of booking which components are non-refundable or subject to supplier-imposed penalties.

Any supplier penalties incurred shall be deducted from refunds payable to the traveler.

Rescheduling

Subject to availability, Everything Uganda shall permit one (1) rescheduling request without an administration fee where such request is made more than forty-five (45) days prior to arrival.

Rescheduling requests made within forty-five (45) days of arrival may attract administration fees, supplier penalties or rate differences.

Rescheduling of gorilla permits, flights and confirmed lodge bookings is governed strictly by supplier and UWA rules and may not be possible.

Exceptional Circumstances & Medical Emergencies

Where cancellation is necessitated by serious illness, hospitalization or a documented emergency, Everything Uganda shall act in good faith to seek recoverable refunds from suppliers. Any amounts recovered shall be passed on to the traveler less bank and transaction charges.

Travelers are strongly advised to obtain comprehensive travel insurance covering medical emergencies, trip cancellation and interruption.

Where park authorities deny access due to health or safety concerns, including communicable disease protocols, refund eligibility shall be determined exclusively by UWA or the relevant authority.

Refund Processing & Charges

Approved refunds shall be processed within fourteen (14) business days after confirmation of refund eligibility and receipt of funds from suppliers, unless otherwise agreed in writing.

Refunds shall be issued in the original payment currency (USD).

Transaction fees, currency conversion losses, bank charges and card processing fees are non-refundable unless expressly stated otherwise.

Force Majeure & Operator-Initiated Changes

In the event of force majeure, including but not limited to government restrictions, park closures, natural disasters or security concerns, Everything Uganda shall offer travellers the option of rescheduling or refund, subject to supplier recoverability.

Where Everything Uganda is required to materially alter or cancel an itinerary prior to departure for reasons beyond the traveler’s control, travelers shall be informed promptly and offered suitable alternatives or refunds in line with consumer-travel norms.

INTELLECTUAL PROPERTY

All content on the Platform, including but not limited to text, images, videos, branding, logos, designs, software, and databases ("Content"), is owned by or licensed to Everything Uganda.

  • Users may not copy, reproduce, modify, distribute, or exploit Content
  • Use Content for commercial purposes without written consent.
  • Limited, non-exclusive, revocable permission is granted to access the Platform for personal, non-commercial use.

USER-GENERATED CONTENT

Users may submit reviews, feedback, images, or other content ("User Content"). By submitting User Content, you

  • Grant Everything Uganda a worldwide, royalty-free, perpetual license to use, reproduce, and display such content; and
  • Warrant that you own or have rights to submit the content.
  • We reserve the right to remove User Content at our discretion.

SUSTAINABLE AND COMMUNITY-DRIVEN TOURISM

Everything Uganda promotes responsible tourism practices, including environmental protection and community benefit. Users and Service Providers are encouraged to align with these principles.

However, implementation and compliance remain the responsibility of the relevant Service Providers and Users.

LIMITATION OF LIABILITY

To the maximum extent permitted by law

  • Everything Uganda shall not be liable for indirect, incidental, special, or consequential losses.
  • We are not liable for injury, loss, damage, delay, or inconvenience arising from services provided by Service Providers.
  • Our total aggregate liability shall not exceed the fees paid directly to Everything Uganda for use of the Platform (if any).
  • Nothing in these Terms excludes liability that cannot be excluded by law.

INDEMNITY

You agree to indemnify and hold harmless Everything Uganda, its directors, officers, employees, and affiliates from any claims, losses, damages, or expenses arising from

  • Your use of the Platform
  • Your breach of these Terms
  • Your dealings with Service Providers.

THIRD-PARTY LINKS AND CONTENT

The Platform may contain links to third-party websites or content. We do not control or endorse such third parties and accept no responsibility for them.

PRIVACY AND DATA PROTECTION

Personal data is handled in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and relevant Ugandan data protection legislation.

TERMINATION

We may suspend or terminate access to the Platform at any time without notice if we reasonably believe there has been a breach of these Terms or misuse of the Platform.

GOVERNING LAW AND JURISDICTION

  • These Terms shall be governed by and construed in accordance with the laws of England and Wales, without prejudice to mandatory consumer protection laws applicable in Uganda.
  • Courts of England and Wales shall have exclusive jurisdiction, save where mandatory local laws require otherwise.

CHANGES TO THESE TERMS

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
